1. Engagement structure
NOD engagements are scoped before kickoff and revisited at each milestone. Continuation is the default — we don't structure engagements around an exit at month 3. Either side can step out cleanly at any milestone with 30 days' notice.
Scope changes mid-engagement go through a written addendum signed by both parties.
2. Payment
Invoicing is monthly, payable Net-15 unless otherwise agreed. ACH or wire preferred. Late payments accrue 1.5%/month after 30 days past due.
3. IP & ownership
Deliverables produced for you are yours, on paid. NOD retains the right to reference the engagement publicly (anonymized unless otherwise agreed) and to reuse generalized methodologies, frameworks, and tooling NOT specific to your business.
4. Confidentiality
Everything you share with us — strategies, customer data, financials, internal documents — is confidential. We treat it the same as our own most-sensitive material. Confidentiality survives the end of the engagement.
5. Warranties
We warrant that the work is delivered with the professional skill and care expected of a senior practitioner in the field. We do not warrant specific revenue outcomes — strategy is not a guarantee.
6. Liability
Our total liability under any engagement is capped at the fees paid in the prior 6 months. Neither side is liable for indirect or consequential damages.
7. Termination
Either side can terminate with 30 days' written notice. On termination, we hand off any work-in-progress and invoice for completed work. Continuation is the default — termination is not.
